On May 31, 2013, Securities and Exchange Commission issued the memorandum circular 10 series of 2013 (SEC Memo Circ. 10-2013) prescribing the amendments on the rules of submission and enhancements on the format of the GIS (General Information Sheet).
The circular states that:
- The number of copies to be submitted were reduced from (5) five to (4) four copies;
- The requirement of Tax Identification Number (TIN) for foreign nationals who are directors/trustees, officers, stockholder/members and resident agents of both domestic and foreign corporations instead of the passport in accordance with Memorandum CIrcular No. 1, series of 2013.
- Inclusion of “Gender/Sex” in the page for directors, trustees and officers in accordance with the Commission’s Resolution No. 227, series of 2013;
- Inclusion of page 1-A pursuant to Anti-Money Laundering Act, as amended
Accordingly, the new GIS form shall be used by corporations beginning June 3, 2013.
The SEC memorandum circular 10, series of 2013 shall take effect on May 31, 2013.
